Marketplace Terms of Use
Version v1 · Effective October 26, 2026
1. Acceptance
1.1 These Terms govern your use of our buyers list sign-up (the "Buyers Box"), the deal emails and messages we send, and the buyer website and marketplace (together, the "Service").
1.2 You accept these Terms by checking the box and typing your name when you sign up, or by using the Service. If you do not agree, do not use the Service.
1.3 Before you receive any property address, you must also sign our Buyer Agreement. If these Terms and the Buyer Agreement conflict, the Buyer Agreement controls.
2. Who we are and who may use the Service
2.1 The Service is operated by Startup Hive LLC, a Georgia limited liability company ("we," "us").
2.2 You must be at least 18, able to form a binding contract, and buying real estate for investment or business purposes. If you sign up for an entity, you confirm that you are authorized to act for it.
3. What the Service is
3.1 We place properties under contract with their owners and offer real estate investors the chance to take an assignment of our contract, or to buy from us in a separate closing. We offer our own contractual interest as a principal.
3.2 We are not a real estate broker and do not represent owners, sellers or buyers. The Service is a private, members-only channel; it is not a public listing of properties for sale.
3.3 We decide which deals to offer, to whom, in what order and on what terms. Sending you a deal does not reserve it for you.
4. Your account and verification
4.1 We review every sign-up. We may approve, ask for more information, decline or later deactivate any buyer at our discretion, including for missing or outdated proof of funds.
4.2 You will give us true, current and complete information and keep it current.
4.3 You are responsible for activity under your login. Do not share it. Tell us promptly at contact@startup-hive.com if you think someone else has used it.
5. Deal information
5.1 Deal summaries, photos, numbers and documents are provided for your evaluation only. They may be incomplete, may change, and a deal may be withdrawn or sold to someone else at any time before a signed assignment and confirmed earnest money.
5.2 Any after-repair value, repair estimate, rent, projected profit or calculator result is an estimate, not a promise or appraisal.
6. Confidentiality and acceptable use
6.1 Deal information is confidential. You will not share, post, forward, advertise, re-sell or re-assign any deal or address without our written consent, except to your own advisers, lender and contractors who need it to help you evaluate the deal.
6.2 You will not contact any owner, seller, occupant, tenant or neighbor of a property, or visit a property, except as we arrange.
6.3 You will not copy, scrape, crawl or bulk-download the Service; use bots; try to access accounts or data that are not yours; interfere with security; or use the Service for any unlawful purpose.
7. Your own due diligence
7.1 Every property is offered as is. You are solely responsible for inspecting each property and verifying title, condition, value, occupancy, zoning, taxes and every other fact before you commit.
7.2 Nothing in the Service is legal, tax, investment, lending or brokerage advice.
8. Money
8.1 We do not collect earnest money or deposits through the Service. Earnest money is paid only to the Georgia closing attorney or title company named in your deal-specific agreement.
8.2 Our assignment fee and other deal terms are set by the Buyer Agreement and the deal-specific agreement.
8.3 Wire fraud warning: we will never email you new or changed wiring instructions. Always confirm instructions by calling the closing attorney at an independently verified number.
9. Communications and consent
9.1 Email (required). By signing up you agree to receive emails from us about deals, your account, documents to sign and proof of funds. You may unsubscribe from deal emails at any time using the link in each email; account and transaction messages may still be sent while you are a member.
9.2 Text messages (optional). Only if you check the separate text box, you agree to receive recurring automated text messages with deal alerts from Startup Hive LLC at the mobile number you gave us. Consent is not a condition of any purchase. Message frequency varies. Message and data rates may apply. Reply STOP to cancel or HELP for help.
9.3 WhatsApp (optional). Only if you check the WhatsApp box, we may send deal alerts by WhatsApp. You can withdraw by replying STOP or telling us.
9.4 We keep a record of each consent, including the version of these Terms, your typed name, date, time and IP address.
10. Your information and documents
10.1 Our Privacy Policy at /privacy explains what we collect and how we use it.
10.2 Proof of funds and other documents you upload are stored privately. Only our authorized staff may view them, through access-controlled, time-limited links, and each view is logged. We use them only to verify your ability to close.
10.3 We do not sell your personal information. We share your contact details with a closing attorney, seller or lender only as needed to complete a deal you choose to pursue.
11. Fair housing
We match deals using property, location and financial criteria only, and never on any characteristic protected by fair housing or anti-discrimination law. You agree to comply with those laws.
12. Our content
The Service, its design, text, software and our deal materials belong to us or our licensors. We give you a limited, revocable, personal right to use them to evaluate deals for yourself.
13. Disclaimers, liability and indemnity
13.1 The Service and all deal information are provided "as is" and "as available," without warranties of any kind, to the fullest extent the law allows.
13.2 To the fullest extent the law allows, we are not liable for indirect, incidental, special, consequential or punitive damages, or lost profits, arising from the Service. Our total liability for any claim about the Service is limited to $100. This does not limit obligations in a signed deal-specific agreement.
13.3 You will defend and indemnify us against claims arising from your breach of these Terms, your misuse of deal information, or your dealings with any property.
14. Suspension, changes and assignment
14.1 We may suspend or end your access at any time, including for a breach of these Terms or the Buyer Agreement. Sections 6, 7, 10, 13 and 15 survive.
14.2 We may update these Terms. We will email you and post the new version with its effective date. Material changes apply after [14] days; continued use after that means you accept them.
14.3 We may assign these Terms to an affiliate or to a successor entity that takes over our real estate business. You may not assign them.
15. Law, arbitration and class acton waiver
15.1 Governing law. Georgia law governs these Terms, without regard to conflict-of-law rules. The Federal Arbitration Act governs this Section 15.
15.2 Informal resolution first. Before starting arbitration, a party must send the other a written notice describing the dispute and the relief sought. Notices to us go to contact@startup-hive.com; notices to you go to the email on file. Both parties will try in good faith to resolve the dispute within 30 days of the notice.
15.3 Binding arbitration. Any dispute, claim or controversy arising from or relating to these Terms, the Service, any deal information or our relationship (a “Dispute”) will be resolved by final and binding arbitration, not in court. This includes Disputes about the scope, validity or enforceability of this agreement to arbitrate, which the arbitrator will decide. The arbitration will be administered by the American Arbitration Association under its Commercial Arbitration Rules, before a single arbitrator. Judgment on the award may be entered in any court with jurisdiction.
15.4 Class action and jury waiver. You and we each agree to bring Disputes only individually, and not as a plaintiff or class member in any class, collective, consolidated or representative proceeding. The arbitrator may not consolidate claims of more than one person or preside over any class or representative proceeding, and may award relief only to the individual party seeking it. You and we each waive any right to a jury trial.
15.5 Exceptions. Either party may:
(a) bring an individual claim in small claims court, if it qualifies there; or
(b) seek a temporary restraining order, preliminary injunction or other equitable relief in the state or federal courts in DeKalb County, Georgia, to stop actual or threatened misuse of confidential deal information or circumvention. This must not be part of a class or representative action.
15.6 Costs. Each party pays its own attorney fees, except as the AAA rules, applicable law or the Buyer Agreement provide. If you show that arbitration filing fees would be unreasonably costly compared with court, we will pay the portion of those fees the arbitrator finds necessary.
15.7 Opt-out. You may opt out of arbitration (Sections 15.3 to 15.6) by emailing contact@startup-hive.com within 30 days after you first accept these Terms, with your name, email and a clear statement that you opt out. Opting out does not affect any other part of these Terms. If you opt out, Disputes go to the courts in Section 15.8.
15.8 If the waiver fails. If the class action waiver in 15.4 is found unenforceable for a Dispute, that Dispute (and only that Dispute) will be decided in the state or federal courts in DeKalb County, Georgia, and not in arbitration. If any other part of Section 15 is found unenforceable, the rest remains in effect.
15.9 Time limit. To the extent the law allows, any Dispute must be started within one year after it arises, or it is permanently barred.
